By accessing or using Banana Invoice ("the Service"), operated by Banana Invoice ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access the Service, whether as registered users or guests.

2. Description of Service

Banana Invoice is a web-based invoice management platform that enables users to:

  • Create, customize, and print professional invoices.
  • Track payments and manage outstanding balances.
  • Store company information and client details (registered users only).
  • Export invoices as print-ready PDFs.
  • Use the invoice generator without creating an account (guest mode).

3. User Accounts

3.1 Registration

To access certain features (saving invoices, managing company data), you must create an account by providing a valid email address and password. You agree to provide accurate, current, and complete information during registration.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at our discretion if you violate these Terms, engage in fraudulent activity, or use the Service in a manner that could harm other users or the platform. You may also delete your account at any time by contacting us at support@bananainvoice.com.

4. Guest Usage

Banana Invoice allows you to generate and print invoices without creating an account. Guest-generated invoices are processed entirely in your browser and are not stored on our servers. You are responsible for saving or printing your invoice before leaving the page, as guest data cannot be recovered.

5. Acceptable Use

You agree to use the Service only for lawful purposes. You may not:

  • Use the Service to create fraudulent, misleading, or illegal invoices.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Attempt to gain unauthorized access to the Service, other user accounts, or computer systems connected to the Service.
  • Transmit any viruses, malware, or other malicious code through the Service.
  • Use automated tools (bots, scrapers) to access or interact with the Service without our written consent.
  • Interfere with or disrupt the Service or the servers or networks connected to the Service.
  • Use the Service to send unsolicited commercial communications (spam).
  • Reproduce, duplicate, sell, resell, or exploit any portion of the Service for commercial purposes without our express written permission.

6. Intellectual Property

The Service and its original content (excluding user-generated content), features, and functionality are and will remain the exclusive property of Banana Invoice. This includes:

  • The Banana Invoice name, logo, and branding.
  • Website design, layout, and user interface elements.
  • Software code, algorithms, and technical infrastructure.
  • Documentation, text, graphics, and other content we create.

You retain full ownership of all content you create using our Service, including invoice data, company information, and uploaded logos.

7. Invoice Data and Content

You are solely responsible for the accuracy, legality, and appropriateness of all content you enter into invoices. This includes:

  • Business names, addresses, and contact information.
  • Line item descriptions, quantities, and pricing.
  • Tax calculations and rates applicable to your jurisdiction.
  • Payment terms and conditions.

Banana Invoice is a tool for creating invoices and does not provide legal, tax, or financial advice. You should consult with qualified professionals regarding compliance with applicable laws and regulations in your jurisdiction.

8. Service Availability

We strive to keep the Service available 24/7, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, server issues, or circumstances beyond our control. We are not liable for any loss or damage resulting from Service unavailability.

9. Limitation of Liability

To the fullest extent permitted by law, Banana Invoice and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim arising from or related to these Terms or the Service shall not exceed the amount you paid us, if any, in the 12 months preceding the claim.

10. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. We do not warrant that the Service will be error-free, secure, or available at all times.

11. Indemnification

You agree to indemnify, defend, and hold harmless Banana Invoice, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
