The short answer: a proforma invoice is a preliminary bill of sale sent to a buyer before goods or services are delivered. It looks like an invoice and lists the same details items, quantities, prices, totals but it isn't a demand for payment and it isn't a legal tax document. "Proforma" comes from the Latin pro forma, meaning "for the sake of form." A proforma invoice is issued as a formality: it previews exactly what the final bill will look like so the buyer can approve the price, arrange financing, or clear customs before the sale is finalised. Because it precedes delivery, it carries no obligation to pay and is never recorded in either party's accounts.

When should you use a proforma invoice?

Freelancers, small businesses and exporters use proforma invoices in four common situations:

  • Advance payment the client wants to pay a deposit (or the full amount) before work starts, and needs a document showing what they're paying for.

What should a proforma invoice include?

  • The words "Proforma Invoice" prominent, so it can't be mistaken for a tax invoice
  • Your business name and contact details, and the buyer's details
  • A description of goods or services, with quantities and unit prices
  • The estimated total, including any tax, shipping and discounts
